Who we are and what these cover
Meenox is a trade name of RM Ventures, a proprietorship run by Raj Meena in India.
These terms cover this website (meenox.com) and every app and tool Meenox makes (Meenox apps), such as Silkpath, whether you use it on the web or on a phone. Every Meenox app links to this page. They also cover the projects we do for clients.
By using this website or a Meenox app, or by going ahead with a quote, you agree to these terms. You must be 18 or over. If you agree for a business, you confirm you are allowed to act for it.
How we handle your data is in our privacy policy.
Using the website and apps
Use them fairly. Please do not:
- Break the law with them, or use them to harm, cheat or spam anyone.
- Try to get into accounts or data that are not yours, or test our security without our written OK.
- Overload them, or copy or resell an app that is not yours without our OK.
- Use our tools, such as Silkpath, to overload or harm other people's websites.
- Copy our website, apps or designs, or use our name or logo, without our written permission. See Copyright and trademarks.
Accounts
If an app has accounts, keep your sign-in details safe and do not share them. You are responsible for what is done with your account, so tell us straight away if you think someone else is using it.
We may pause or close an account that breaks these terms. We tell you why.
What you add stays yours
Anything you add to an app, such as menus, orders, tenants or reports, stays yours. You allow us to store and process it only to run the app for you.
You are responsible for what you add: that it is correct, legal, and yours to add. For example, if you add your customers' details, they should know you keep them.
Anything an app works out, such as bills, reports or scores, is only as accurate as what is put in. Check it before you rely on it.
Free apps and tools
Free apps and tools, such as Silkpath, are given as they are. We work to keep them running and accurate, but we cannot promise they will always be available or free of mistakes, and we may change or stop them. Check important results before you act on them.
Apps from Google Play or the App Store
If you get a Meenox app from Google Play or the Apple App Store, the store's own terms also apply. These terms are between you and Meenox, not Google or Apple. We, not the store, are responsible for the app and its support.
Apps a business gives you
If a business gave you an app that Meenox built for it, for example to order food or pay rent, your deal for those goods and services is with that business. Questions about an order or a payment go to them. Meenox builds and runs the app for them.
Estimates, quotes and what is included
The price calculator and the business check are there to give you an idea of what your project could cost. Every figure they show, including both ends of a range, is an estimate for guidance only. It is not a fixed price, not a promised range, and not an offer.
An estimate is worked out only from the choices you entered and our prices on the day. Once we know what you really need, the final price can be lower or higher, and can fall outside the estimated range. Each estimate shows the date it was made, so you can see which prices it used. That does not hold those prices.
Your price is set only in a written quote, after a short call about what you need. A written quote is valid for 30 days, unless it says otherwise. You accept it by saying yes in writing (WhatsApp or email is fine) or by paying the first part.
The written quote lists what is included, including how many rounds of changes. Anything not in it is extra, and we quote it before we do it. If the quote and these terms differ, the quote wins for that project.
Prices and ranges on this website can change at any time. If a price on the website or in an estimate is wrong because of a mistake, we are not bound by it. Prices shown in other currencies are converted at approximate rates, for guidance only; our quotes and invoices are in Indian rupees, unless the quote says otherwise.
Running costs (hosting) in an estimate are worked out from the hosting providers' published prices and the numbers you entered. Real bills depend on real use and on the providers' prices at the time.
If a quote is more than you want to spend, we reduce the scope rather than the quality.
Your part in a project
A project goes well when we both do our part. You agree to:
- Give us the content, details, access and approvals we need, on time. Our dates move by as long as we wait for them.
- Give us only content you have the right to use, such as text, photos and logos.
- Approve work and ask for changes in writing. WhatsApp or email is fine.
- If we wait on you for more than 30 days, we may pause or close the project and bill for the work done so far.
Paying for a project
- Builds (websites, apps, automations) are paid in three parts: 50% when you go ahead, 30% when the final draft is ready for you to check, and 20% once it is live and the first person has used it.
- We start work once the first payment reaches us. Each payment is due within 7 days of our invoice, unless the quote says otherwise.
- If going live is held up on your side for more than 30 days after the final draft is ready, the last 20% is due then.
- Monthly services: billed at the start of each month. Marketing: monthly parts have a 3-month minimum.
- We can change a monthly fee by telling you at least 30 days before. If you do not want to continue at the new fee, you can stop before it applies.
- If a payment is late, we may pause the work. For an app managed by Meenox, we may pause the app until the monthly fee is paid, after reminding you. Pausing never deletes your data. If a fee is still unpaid 30 days after it was due, we may end the managed plan, as explained under Stopping.
- Prices exclude GST and other taxes, which are added where they apply.
- Ad spend, WhatsApp message fees, call charges, domains and other third-party fees are paid by you directly to those providers. If a provider raises its prices, the new price applies, including hosting we pass on at cost.
Running what we build
You choose how it runs, and can switch later:
- Managed by Meenox: we host it and look after it for a monthly fee. Hosting is passed on at cost. Small changes and edits are included in the monthly fee. Bigger new features are quoted.
- In your own accounts: you pay the hosting providers directly and stay in full control. Because we do not manage it, changes and adjustments are quoted one by one before we start.
- On a computer in your office: the app and its data stay on your own machine, and you look after it. Changes and adjustments are quoted one by one before we start.
Who is responsible for a running app
It depends on who runs it:
- Managed by Meenox: while you pay the monthly fee, we look after keeping the app running and secure on the systems we run. If the monthly plan stops, so does this responsibility.
- In your own accounts or on your own computer: you run it, so you are responsible for it, including hosting bills, the computer, access, security, backups and the data in it. We are not responsible for downtime, data loss or leaks there.
- Either way, we are not responsible for problems caused by changes made by anyone else, such as you, your staff or another developer, or by people you gave access to.
Apps that are not used for a while
If an app has no activity for 7 days in a row, its hosting provider may pause it. While it is paused, the app cannot load or save data, but the data stays stored. This is not a fault in the app.
To use it again, the app is restarted. For an app managed by Meenox, tell us and we restart it. In your own account, you can restart it yourself.
Lifetime fixes
If something we built breaks or stops working, we fix it free, for as long as you use it. Changes made by others and new features are not covered.
You can change your own data, content and settings at any time; that never affects this promise. But if anyone other than Meenox changes how the app works, such as its code, logic or features, lifetime fixes end for that app.
To fix something in your own accounts or on your own computer, we need temporary access you give us.
Ownership
When a project is paid for in full, the code and content we made for you are yours. Until then, they stay ours, and you may use them as long as payments are made on time.
Some projects use our own tools, or open-source software, that we reuse across projects. You get a permanent right to use them in your project, but they stay ours or their makers', under their own licences.
The Meenox name, logo, website and designs always stay ours, as our copyright and trademarks page explains.
We show your project in our work only with your permission.
AI in what we build
We use AI only where it clearly helps. When an automation uses AI to draft replies, nothing is sent to your customers until a person approves it. Fully automatic replies are only switched on with your agreement, after a trial period, with limits and a person to fall back on.
AI can make mistakes, so read drafts before you approve them. Whoever approves a message is responsible for it.
You are responsible for having your customers' consent for the messages and calls your automations send, for telling callers when a call is recorded, and for following WhatsApp's and other platforms' rules and India's rules for commercial calls and messages. We are not responsible if a platform or phone provider limits or blocks a number or an account.
Marketing results
Search engines, AI search tools and ad platforms decide rankings, reach and ad results, and they change their rules often. So we do not promise any ranking, traffic, number of leads or sales. We promise to do the work in your quote, and to do it well.
Ad accounts and ad spend are yours. The platforms' own rules apply, and we are not responsible if a platform rejects an ad or limits an account.
Keeping your business private
We keep your business information, data and plans private, and use them only for your project. We share them only as our privacy policy explains.
Cancelling a project and refunds
Everything we build is made to your own requirements, and we start work as soon as you go ahead. So payments are not refundable, except in the one case below.
If you need to cancel after work has started, tell us in writing with your reason. If the reason is valid, we keep the amount for the work already done and refund the rest, if any is left. We show you what was done, and give you our decision in writing.
Monthly fees are not refunded once that month has started.
Liability
We build with care and test our work. As far as the law allows:
- Our total liability for a project is limited to the amount you paid us for it. For a monthly service, it is limited to the fees you paid in the 3 months before the claim.
- We are not liable for indirect losses, such as lost profit, lost business or lost time.
- We are not liable for losses from using a free app or tool.
- We are not responsible for problems caused by third-party services, such as hosting providers, app stores, WhatsApp, payment providers or ad platforms.
- If someone makes a claim against us because of content you gave us, or the way you used what we built, you agree to cover our costs.
Things outside our control
We are not responsible for delays or failures caused by things we cannot control, such as an outage at a hosting provider, internet or power failures, natural disasters or government action. We tell you, and get things working again as soon as we can.
Stopping
You can stop using an app at any time, and delete your account as our privacy policy explains.
We may pause or stop an app, or your access to it, if these terms are broken, to protect other people, or if we close the app. If we close an app you use, we tell you in advance where we can, so you can save your data.
When a managed plan ends, we give you a copy of your data, and the code if the project is paid for in full. Then we delete our copies within 30 days.
Changes to these terms
If these terms change, the new version appears here with a new date. If a change affects how you use an app, we also tell you in the app first.
For a project already agreed, the terms from the date of your quote apply, unless we both agree otherwise in writing.
The rest
These terms and your written quote are the whole agreement between us. Any change must be agreed in writing; WhatsApp or email is fine.
We send notices to the email address or WhatsApp number you gave us, and you can reach us the same way.
We may use trusted helpers or services for parts of the work. We stay responsible for it.
If a court finds part of these terms invalid, the rest still applies. If we do not enforce a term straight away, we can still enforce it later.
Law and disputes
These terms are governed by the laws of India. If we disagree, we first try to settle it by talking. If that does not work, the dispute goes to the courts that cover the place where RM Ventures is registered.
